5.8. The Service Provider undertakes that in any case in which it will be required to perform acts under section 5.7 all details and information will be provided by him or by his employees or by any party acting on itshis behalf will be fully correct and accurate. The Service Provider will defend, indemnify, protect, and hold harmless the Company from and against any and all damages, losses, liabilities, judgments, penalties, fines, settlement amounts, fees, costs, and expenses (including, without limitation, reasonable attorneys’ fees) that the Company may suffer or incur, to the extent arising out of any misrepresentation or inaccuracy or omission to provide information or details, as said above.
5.9. The parties agree that, for the performance of the Servicesservices, the service provider may use sub-contractorssubcontractors, but in any case, the Service Provider will be solely and exclusivlyexclusively responsible toward the Company offor any execution of its undertakings within this agreement. The Service Provider undertakes to cause the Sub-Contractorsubcontractor to perform his work in accordance with the terms of this Agreement, and any delay, misconduct, or infringement will be on the Service ProviderProvider's liability.
